These General Terms and Conditions apply to any agreement or other legal relationship between TM Opvang & Projectmanagement and a client for whom TM Opvang & Projectmanagement performs or will perform paid or unpaid work. TM Opvang & Projectmanagement is registered in the Commercial Register under Chamber of Commerce number 93225342. TM Opvang & Projectmanagement operates in the field of providing shelter for asylum seekers and refugees, associated project and location management, and related activities. TM Opvang & Projectmanagement is authorized to amend these general terms and conditions. The amended general terms and conditions apply to new assignments for the performance of work and to ongoing agreements.
Good Contractor
In performing the agreed-upon work, TM Opvang & Projectmanagement will exercise the care expected of a competent contractor to the greatest extent possible. TM Opvang & Projectmanagement will act with due care in carrying out the assignment and will perform the assignment to the best of its knowledge and ability, exercising the level of care that may be expected of a professional party. TM Opvang & Projectmanagement strives for clear agreements and up-to-date information, even if, for any reason, an assignment does not proceed as planned or is delayed. If desired, new agreements will be made.
Electronic means of communication
TM Opvang & Projectmanagement will use electronic means of communication whenever possible in its communications with the client. We consider agreements made through these means to be legally binding. Neither party is liable to the other for any damage resulting from the transmission of viruses and/or other irregularities in electronic communication, nor for messages that are not received or are received in a damaged state.
Billing
The work will be invoiced in accordance with the order confirmation. All invoice amounts will be subject to the applicable VAT rate, where applicable.
Payment
Payment must be made in euros within thirty days of the invoice date by transferring the amount due to the bank account listed on the invoice. In the event of late payment, TM Opvang & Projectmanagement reserves the right to increase the invoice amount by a penalty percentage.
Liability
TM Opvang & Projectmanagement carries out assignments to the best of its ability, with due care, and in good faith. In doing so, TM Opvang & Projectmanagement relies on the information and requests provided by the client and/or any parties with whom the client collaborates. Should problems nevertheless arise or threaten to arise, we will report them in a timely manner and expect the client to do the same.
If TM Opvang & Projectmanagement engages third parties to perform work, it accepts no liability for damages resulting from the negligence of such third parties.
Other
All agreements and legal relationships with TM Opvang & Projectmanagement are governed by Dutch law.
